PUBLIC OFFER AGREEMENT

General provisions

• This Offer constitutes the official proposal of Limited Liability Company “M1A1”, hereinafter referred to as the “Seller”, to enter into a distance sales agreement for goods, i.e., via an online store, hereinafter referred to as the “Agreement”, and is published as a public offer on the Seller’s official website: https://www.abrams.com.ua (hereinafter – the Website). ;
  Clicking the “Checkout” button on the Cart page of the Website indicates that the Buyer, regardless of status (individual, legal entity, or sole proprietor), in accordance with the current legislation of Ukraine, accepts the terms of this public offer agreement, as set forth below. This public offer is public, meaning that under Article 633 of the Civil Code of Ukraine, its terms are identical for all buyers, regardless of their legal status. By agreeing to this Agreement, the Buyer accepts the terms and procedures for order placement, payment, delivery, liability for improper ordering, and failure to comply with the terms of this Agreement. ;
  The Agreement is deemed concluded from the moment the Buyer clicks the “Checkout” button on the order page and confirms the purchase. If necessary, at the Buyer’s request, the Agreement may also be executed in simple written form under the terms specified herein. ;
  The Seller delivers goods throughout the territory of Ukraine, except for certain administrative-territorial units not under Ukrainian control and/or temporarily occupied territories, in accordance with the Law of Ukraine “On Ensuring the Rights and Freedoms of Citizens and the Legal Regime in Temporarily Occupied Territories of Ukraine,” where delivery is not carried out. ;
  The procedure for returning goods is governed by the Law of Ukraine “On Consumer Rights Protection.” ;
  By placing an order on the Website, the Buyer unconditionally agrees to comply with the terms of this Agreement and confirms that they have read and understood them.

Concepts and definitions

• In this Offer, unless the context requires otherwise, the following terms shall have the meanings indicated below:
  
  - Goods – clothing, equipment, accessories, components, accompanying items, and all other products presented on the Website.
  
  - Online Store – a tool for offering or selling Goods, works, or services through an electronic transaction.
  
  - Seller – a legal entity and/or sole proprietor offering the Goods presented on the Website.
  
  - Buyer – an individual, legal entity, or sole proprietor who has entered into an Agreement with the Seller under the terms set forth below.
  
  - Order – a properly completed request by the Buyer to purchase Goods, made via the Website (by selecting Goods, providing necessary information, and confirming intent to purchase via payment or other permitted method under this Agreement).

Subject of the agreement

• The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under this Agreement.
• This Agreement governs the purchase and sale of goods in the Online Store, including:
  
  - voluntary selection of Goods by the Buyer;
  
  - self-placement of an Order by the Buyer;
  
  - payment by the Buyer;
  
  - processing and delivery of the Order under the terms of this Agreement.

Ordering procedure

• The Buyer has the right to place an Order for any Goods available on the Website at the time of ordering.
• Each item may be ordered in any quantity, subject to availability.
• In case of unavailability, the Seller will notify the Buyer by:
  
  - telephone;
  
  - messenger apps (Signal, WhatsApp, Viber, Telegram, Messenger, Instagram, SMS);
  
  - email.
• If unavailable, the Buyer may replace the Goods with a similar item upon prior agreement with the Seller.
• Orders are placed by adding Goods to the Cart.
• An Order is considered properly placed if
  
  • the Buyer completes all required fields:
    
    • Full name / company name
      
    • Delivery address
      
    • Contact phone number
      
    • Email address
      
    • Preferred payment method
      
    • Preferred delivery method

ACCEPTANCE OF AN ORDER BY AN ONLINE STORE

• Upon receiving the Order, the Seller checks availability and, if the Order complies with Section 4, accepts it and contacts the Buyer to confirm details.
• Once the Order is accepted, the Buyer may modify it (add/remove items, change specifications) until payment. After payment, no changes are allowed.

Order Processing

• Orders accepted, confirmed, and paid by 16:00 are shipped the same day. Orders placed on weekends or holidays are shipped on the next business day. Origin city – Kyiv.
• If the Goods are unavailable, the Seller may offer a replacement item, subject to Buyer approval.
• Upon completion of the Order, the Buyer receives a notification regarding status and payment method via email.

PAYMENT TERMS

• Payment can be made via:
  
  • Bank card (secure online terminal)
    
  • Non-cash transfer (invoice after confirmation by Seller)
    
  • For self-delivery, we accept payment in cash or by card.
    
  • Instant installment via PrivatBank

AGREEMENT PRICE

• Price is indicated in Ukrainian Hryvnia (UAH) on the Website and is mandatory for payment upon order placement.
• The listed price is final and includes all taxes and fees unless otherwise required by law.
• The final payable amount is confirmed by the Buyer at checkout.
• The Seller reserves the right to unilaterally change prices; such changes do not affect confirmed Orders.
• Payment via banks or payment systems may include operator fees and differ from the listed price.

DELIVERY TERMS

• • Delivery is carried out by Nova Poshta within Ukraine. Orders received and paid by 16:00 are shipped same day; after 16:00 – next business day.
  
  • Delivery time is 1–3 days on average; due to military actions, delays may occur.

RIGHTS AND OBLIGATIONS

• Seller’s rights:
  
  - Terminate this Agreement in case of Buyer breach;
  
  - Receive timely payment;
  
  - Engage third parties for proper fulfillment;
  
  - Exercise other rights under this Agreement and Ukrainian law.
• Buyer’s obligations:
  
  - Pay and accept the Order timely;
  
  - Read this Agreement before ordering.
• Buyer’s rights:
  
  - Place Orders in the Online Store;
  
  - Demand fulfillment of this Agreement;
  
  - Other rights under the Law of Ukraine “On Consumer Rights Protection.”

LIABILITY

• Parties are liable for non-performance or improper performance under this Agreement and Ukrainian law.
• Seller is not liable for:
  
  - Changes in appearance by the manufacturer;
  
  - False Buyer-provided information;
  
  - Delays due to reasons beyond control;
  
  - Illegal actions by Buyer via the Internet.
• Buyer is responsible for all actions from their account (login), including by third parties.
• Force majeure events release both parties from liability (extraordinary, unforeseen events).
• Disputes are resolved by negotiation or, failing agreement, in Ukrainian courts.

OTHER TERMS

• The Online Store may unilaterally amend this Agreement, published in advance on https://www.abrams.com.ua.
• The store is created for distance sales.
• Buyer is responsible for accurate information; by placing an Order, Buyer consents to processing of personal data under the Law of Ukraine “On Personal Data Protection.”
• Payment constitutes full acceptance of this Agreement.
• Use of the Website to view Goods or place Orders is free.
• Buyer information is confidential, used only for order processing, communication, delivery, and settlement.

RETURN AND EXCHANGE

• Returns only to the original purchase address.
• Goods of proper quality may be returned/exchanged within 14 days if:
  
  - No signs of use
  
  - Preserved appearance and consumer properties
  
  - Original undamaged packaging and labels
• Buyer bears return shipping costs (except manufacturing defects or misdelivery, which are at Seller’s expense).
• Process: fill out return/exchange form sent by Seller via email or agreed method.
• Exchange occurs after Seller receives the returned item in full, proper condition, per Ukrainian law.

TERM OF AGREEMENT

• Effective from order placement until full fulfillment of obligations.
• Termination possible by mutual consent; after payment – only per Ukrainian law.
• Place of conclusion: Seller’s location.
• Governed by Ukrainian law.
• If any provision is invalid, remaining provisions remain binding.
